Als Company Secretary heb je een cruciale rol binnen DAS, waar je opereert op het snijvlak van governance, recht en bestuurlijke besluitvorming. Je bent een onmisbare sparringpartner voor de Statutaire Directie en de Raad van Commissarissen (RvC), waarbij je hen vanuit een onafhankelijke positie adviseert en ondersteunt bij complexe juridische vraagstukken en zorgt voor zorgvuldige en transparante besluitvorming.

The Role

Je bent verantwoordelijk voor een efficiënte informatievoorziening tussen de directie en de RvC en zorgt ervoor dat wet- en regelgeving omtrent corporate governance correct wordt nageleefd. Je houdt altijd rekening met de belangen van alle stakeholders, met de vennootschap als uitgangspunt.

Responsibilities

•

Voorbereiden en coördineren van vergaderingen van de RvC, de Algemene Vergadering van Aandeelhouders (AvA) en bijbehorende commissies.

•

Opstellen van nota’s en adviezen op bestuursniveau, bewaken van procedures en voortgang van besluiten.

•

Fungeren als vertrouwenspersoon en adviseur voor de Algemeen Directeur en de voorzitter van de RvC.

•

Monitoren, adviseren en implementeren van wijzigingen in wet- en regelgeving op het gebied van corporate governance.

•

Toezien op naleving van procedures en wettelijke verplichtingen.

•

Coördineren en vastleggen van vergaderingen van de AvA, RvC, Audit en Risk commissie (ARC) en andere commissies.
